ABSTRACT
Though the principle of veil of incorporation separates the personality of a corporation from the personalities of its shareholders, members and directors, and protects them from being personally liable for the company’s debts and other obligations, but there are circumstances under which the court will go beyond that principle and disregard it in order to see the real state of affairs. For example, under Rwandan law, on specific note the article 92(5) of the law N° 007/2021 of 05/02/2021 governing companies provide some grounds under which the court can lift the veil of incorporation, however, it does not provide the exhaustive list of those grounds. Likewise, it does not limit the other grounds to be presented by the claimant, therefore, basing on that reason, a claimant may present any other ground to the court requesting the lift of the veil of incorporation. It is in this vein, the study intends to unpack other different grounds (which are not provided for by the above captioned article) under which the court may pierce the corporate veil.
